("Companhia"), sociedade annima de capital aberto, nos termos da Instruo da Comisso de Valores Mobilirios (CVM)n 358, de 3 de janeiro de 2002 e do artigo 157 da Lei n 6.404 de 15 de dezembro de 1976, vem informar aos seus acionistas e ao mercado em geral que a administrao da Companhia finalizou as negociaes para a celebrao de aditamento escritura da 1 (primeira) emisso de debntures da Companhia (Debntures e Emisso, respectivamente), cujas condies j foram aceitas pela totalidade dos debenturistas, nos termos da ata Assembleia Geral de Debenturistas (AGD), realizada em 01/11/2012, e que sero apreciadas pelo Conselho de Administrao da Companhia na reunio agendada para 08/11/2012, a fim de (i) alterar as datas de amortizao peridica do valor nominal unitrio das Debntures, passando a primeira para o dia 05/05/2013 e a ltima para o dia 05/05/2014, (ii) constituir alienao fiduciria do imvel inscrito na matrcula n 86.391 do Registro de Imveis da 2 Circunscrio de Nova Iguau, de propriedade da Companhia, como garantia do pagamento pontual e parcial das Debntures, e, consequentemente, alterar a espcie das debntures para com garantia real, e (iii) incluir novas hipteses de vencimento antecipado das Debntures.
